1. Acceptance of the Terms

These Terms & Conditions ("Terms") govern access to and use of the MAGNET platform and services provided by EDGE HOLDING USA, LLC ("MAGNET", "we"). By accessing or using the services you agree to be bound by these Terms. If you do not agree, do not use the services.

2. Eligibility and account registration

The services are intended for business use by authorised representatives of an organisation. You must be at least 18 years old, provide accurate and complete registration information, and keep it up to date.

3. Description of MAGNET services

MAGNET provides a governed revenue platform comprising five tools — CRM, Enrichment, Scoring Model, Sequencer and BI Dashboard — operating on a single governed record. Features may evolve over time.

4. Authorised and prohibited use

You may use the services only for lawful business purposes and in accordance with these Terms. You must not attempt unauthorised access, disrupt operation, scrape without authorisation, resell without consent, or use outputs to violate applicable law.

5. User accounts and security

You are responsible for safeguarding credentials and for all activity under your account. Notify us promptly at legal@magnet-io.com of any suspected unauthorised use.

6. Subscription, fees and payment

Paid plans are billed per the order form or plan selected. Except where required by law, fees are non-refundable and taxes are the customer's responsibility. Pricing may be revised with prior notice, effective at the next renewal.

7. Customer data and responsibilities

You retain all rights to data you submit to the services ("Customer Data"). You are responsible for its accuracy and for having the rights and consents needed to process it in the services.

8. AI-generated insights and outputs

The services generate scores, enrichment and insights using automated and AI-assisted analysis. Outputs are decision support only, may contain inaccuracies, and should be reviewed by a qualified person before action is taken.

9. Intellectual property

The services, software and all related intellectual property are owned by EDGE HOLDING USA, LLC or its licensors. No rights are granted except as expressly set out in these Terms.

10. Confidentiality

Each party will protect the other party's confidential information with at least reasonable care and use it only as needed to perform under these Terms.

11. Third-party services and integrations

The services may interoperate with third-party products. Use of third-party products is governed by the third party's own terms, and MAGNET is not responsible for them.

12. Service availability and modifications

We may modify, suspend or discontinue features and will use commercially reasonable efforts to give notice of material changes. Scheduled maintenance may temporarily affect availability.

13. Suspension and termination

We may suspend or terminate access for material breach, security risk or unlawful use. Upon termination your right to use the services ceases; provisions intended to survive will survive.

14. Disclaimers

Except as expressly stated, the services are provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory.

15. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental or consequential damages, and each party's aggregate liability is limited to the fees paid in the twelve months preceding the claim.

16. Indemnification

You will defend and indemnify EDGE HOLDING USA, LLC against third-party claims arising from Customer Data or your unlawful use of the services.

17. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, USA. Disputes will be resolved in the state and federal courts located in Delaware, USA, subject to any mandatory local rights.

18. Changes to the Terms

We may update these Terms from time to time. Material changes will be notified in advance; continued use after the effective date constitutes acceptance.
